These Terms of Business and Legal Notices (“Terms”) govern your access to and use of this website (“Site”) operated by Alphaxis Partners Ltd and/or its affiliated entities (“Alphaxis”, “we”, “us”, “our”). By accessing any part of this Site, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, you must leave this Site immediately.

1. Who We Are

Alphaxis Partners Ltd is a systematic trading and research-driven investment firm incorporated in Gibraltar (registered office: Suite 4, 4 Giro’s Passage, Gibraltar GX11 1AA). The firm engages in quantitative research, algorithmic strategy development, and proprietary investment management activities. References to “Alphaxis Partners” may, depending on context, encompass one or more Alphaxis group entities and/or associated fund vehicles.

2. Important Notice: No Offer, No Solicitation

This site and all information contained herein are provided for general information purposes only. Nothing on this site constitutes, or should be construed as, an offer to sell, a solicitation of an offer to buy, a recommendation, or advice in relation to any security, digital asset, fund interest, financial instrument, or investment of any kind in any jurisdiction.

Any offering of interests in an Alphaxis fund, if made, will be made exclusively through definitive legal documentation provided directly to eligible persons in jurisdictions where such an offer is lawful. No reliance should be placed on the information on this Site in connection with any investment decision.

3. Professional Investor Restriction and Access Conditions

This Site is directed exclusively at, and is only intended for access by, persons who are:

  • Professional clients or eligible counterparties as defined under the FCA Rules (COBS 3);
  • Professional investors within the meaning of AIFMD or UK AIFMR;

Interests in any Alphaxis fund have not been and will not be registered under the Securities Act 1933, the Investment Company Act 1940, or any applicable US state securities laws. Nothing on this Site constitutes an offer or solicitation in the United States or to any US Person.

4. Our Business Divisions and Brands: Not Separate Legal Entities

This Site makes reference to “Alphaxis Strategies”, “Alphaxis Labs”, and “Alphaxis Research”. These are operational and marketing divisions of Alphaxis Partners Ltd. They are descriptive labels used to organise and present the firm’s activities; they are not separate legal entities, incorporated companies, regulated entities, or distinct legal persons. Any reference to these divisions is a reference to the corresponding activities of Alphaxis Partners Ltd. All legal rights, obligations, and liabilities in connection with those activities vest in Alphaxis Partners Ltd.

Similarly, “Cockpit”, “Cockpit by Alphaxis”, and any other named tools, dashboards, or platforms referred to on this Site are proprietary systems operated by and owned by Alphaxis Partners Ltd. They are not independent products, standalone services, or separately regulated activities.

5. No Investment, Legal, Tax, or Accounting Advice

Nothing on this Site constitutes investment advice, legal advice, tax advice, accounting advice, or any other form of professional advice. Information is provided for general purposes only and does not take into account your individual objectives, financial situation, risk tolerance, or needs. You should obtain independent professional advice before making any investment decision or taking any action in reliance on information from this Site.

6. Risk Warnings

Investment in alternative strategies, hedge funds, and digital asset markets involves substantial risk. You may lose all of your invested capital. Risks include, without limitation:

  • Market volatility and adverse price movements;
  • Liquidity risk: strategies may be unable to exit positions at intended prices;
  • Leverage: amplifies both gains and losses;
  • Counterparty and custodial risk, including insolvency of trading venues or custodians;

7. Proprietary Systems and Trade Secrets

Alphaxis Partners has developed, and continues to develop, proprietary trading strategies, quantitative models, algorithms, signal libraries, risk management systems, execution infrastructure, research methodologies, data pipelines, and associated processes (collectively, “Proprietary Systems”). These include, without limitation, tools referred to on this Site such as “Cockpit”, the Alphaxis Research Series, and all strategy frameworks described or referenced on this Site.

The Proprietary Systems constitute confidential information and trade secrets of Alphaxis Partners Ltd, protected under the Trade Secrets (Enforcement, etc.) Regulations 2018 (SI 2018/597), implementing Directive (EU) 2016/943, and under applicable Gibraltar law and common law principles of confidence. The absence of a formal patent, trademark, or copyright registration does not diminish the confidential and proprietary nature of the Proprietary Systems, nor the firm’s rights to enforce protections against misappropriation.

Nothing on this Site discloses, transfers, licences, or grants any rights whatsoever in or to the Proprietary Systems or any component thereof. Access to this Site does not confer any right to reverse-engineer, replicate, copy, reproduce, derive works from, or commercially exploit the Proprietary Systems or any part of them.

8. Intellectual Property

All content on this Site, including text, graphics, logos, design, layout, trademarks, reports, research publications, and all other materials, is owned by or licensed to Alphaxis Partners Ltd and is protected by applicable intellectual property laws. The Alphaxis Research Series and all papers, articles, and publications produced under it are copyright works of Alphaxis Partners Ltd.

You may view and download materials solely for your own internal, non-commercial reference. You must not reproduce, redistribute, modify, publish, transmit, create derivative works from, sell, or commercially exploit any content without the prior written consent of Alphaxis Partners Ltd. Systematic or automated extraction of content, including by web scraping, crawlers, bots, or similar means, is strictly prohibited (see also Section 12).

9. Algorithmic and Systematic Strategy Disclosure

Alphaxis employs proprietary quantitative models and systematic investment strategies. The following disclosures apply to all references to algorithmic or model-driven approaches on this Site:

  • Quantitative models are constructed using historical market data. Past patterns may not persist and models may fail to perform as expected in unusual, extreme, or unprecedented market environments;
  • Models are subject to development, modification, and discontinuation at any time without notice;
  • Human oversight: Alphaxis combines algorithmic tools with the professional judgement of experienced investment managers. Alphaxis retains full discretion to deviate from, override, or suspend any model or systematic process at any time. Automated signals and system outputs are inputs to human decision-making; they do not replace it;
  • Multiple investment managers may employ similar quantitative approaches, which could result in crowded positioning and amplified losses;
  • Execution of model-generated signals is subject to market impact, latency, slippage, and transaction costs not reflected in any backtested or simulated results.

No representation is made that any strategy, model, or algorithm will achieve its stated or implied objective. References to strategy names (e.g. “Flying High”, “Dual MA”, “Opening Range”) are internal designations only and do not imply any particular performance guarantee, risk profile, or regulated status.

10. Digital Asset Risks

Where this Site references digital assets, cryptocurrencies, tokens, or blockchain-based instruments (collectively, “Digital Assets”), the following additional disclosures apply:

  • Digital Assets are highly speculative and their value may be extremely volatile. The value may fall to zero;
  • Digital Assets are not legal tender and are not backed by any government or central authority;
  • FSCS and FOS: Digital Assets and services related to Digital Assets are not covered by the Financial Services Compensation Scheme (FSCS) or the Financial Ombudsman Service (FOS). You will have no recourse to these schemes in respect of any loss;
  • The regulatory classification of Digital Assets varies by jurisdiction and may change. Assets currently treated as non-securities may be reclassified, materially affecting their tradability and value;
  • Technology risks include smart contract vulnerabilities, protocol failures, forks, and loss of access due to key management failures;
  • Exchange, custodian, and counterparty insolvency risk is material in digital asset markets, as demonstrated by multiple high-profile failures in recent years;
  • Market infrastructure for Digital Assets is less mature than traditional financial markets and may be subject to manipulation, illiquidity, and settlement failures.

References to Digital Asset trading activities on this Site are for informational purposes only and do not constitute advice or an inducement to invest in Digital Assets.

  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code of any Proprietary System;
  • Access the Site in any way that breaches applicable law or regulation in any jurisdiction;
  • Attempt to gain unauthorised access to any restricted area, server, database, or administrative function;

17. Anti-Money Laundering and Due Diligence

If you pursue an investment or business relationship with Alphaxis, you agree to provide all identity verification, source of funds documentation, and other information reasonably required to comply with applicable anti-money laundering, counter-terrorist financing, sanctions screening, and tax reporting obligations in Gibraltar, the United Kingdom, and any other applicable jurisdiction. We reserve the right to decline or terminate any relationship where satisfactory due diligence cannot be completed.

18. Limitation of Liability

To the maximum extent permitted by applicable law, Alphaxis Partners Ltd, its directors, officers, employees, agents, affiliates, licensors, and service providers shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages of any kind, including loss of profits, loss of data, loss of opportunity, or loss of goodwill, arising from:

  • reliance on any information, content, or material on this Site;
  • any unauthorised access to or alteration of your data or transmissions;
  • viruses, cyber incidents, data breaches, or third-party interference;

Whether based on theories arising in contract, tort (including negligence), strict liability or otherwise. The aggregate liability of Alphaxis to you in connection with this Site shall not exceed £100. Nothing in these Terms excludes liability for fraud, wilful misconduct, or any liability that cannot be excluded by law.

You agree to defend, indemnify, and hold harmless Alphaxis Partners Ltd, its affiliates, directors, officers, employees, agents, and representatives from and against any and all claims, demands, liabilities, losses, costs, and expenses (including reasonable legal fees) arising from or in connection with: (a) your breach of these Terms; (b) your misuse of this Site or any content thereon; (c) your violation of any applicable law or regulation; or (d) any third-party claim arising from your access to or use of this Site.

20. Regulatory Status and Investor Protection Schemes

Alphaxis Partners Ltd is incorporated in Gibraltar and operates under the laws of Gibraltar. Where applicable, activities may be conducted through or in connection with entities authorised or registered with the Gibraltar Financial Services Commission (“GFSC”) and/or the Financial Conduct Authority (“FCA”) in the United Kingdom.

FSCS and FOS:Neither the Financial Services Compensation Scheme (“FSCS”) nor the Financial Ombudsman Service (“FOS”) applies to investments in or services provided by any Alphaxis fund or entity, except to the extent specifically stated in applicable fund documentation. Prospective investors should not assume they will have access to these schemes.

The specific regulatory status of each Alphaxis entity and fund vehicle will be set out in the relevant offering documentation. This Site does not set out the regulatory permissions or authorisation scope of any specific entity.

21. Conflicts of Interest

Conflicts of interest may arise in the course of Alphaxis’s activities, for example in relation to allocation of investment opportunities, trading alongside other accounts, relationships with service providers, remuneration structures, or personal investments. Where applicable, we identify, manage, and, where material, disclose conflicts in accordance with our conflicts of interest policy and in relevant fund documentation.

22. Fraud, Impersonation, and Clone Firm Warning

Be aware that fraudsters may attempt to impersonate Alphaxis Partners by cloning this Site, using similar names or branding, or contacting people purporting to be Alphaxis representatives.

  • Alphaxis will never cold-call you unsolicited to offer investment opportunities;
  • Always verify the identity of anyone purporting to represent Alphaxis through official channels;
  • Check the FCA register and GFSC register to verify regulatory status before transacting;
  • If you believe you have been targeted by a fraudster using the Alphaxis name, contact us immediately at info@alphaxispartners.com and report to the relevant regulatory authority.

Alphaxis accepts no liability for any loss arising from engagement with any fraudulent entity misrepresenting itself as Alphaxis or any of its affiliates.

23. Privacy and Data Protection

The collection, use, and processing of personal data in connection with this Site is governed by our Privacy Notice. By using this Site, you acknowledge that you have read and understood our Privacy Notice. Where required by law, we will seek your consent before processing your personal data for specific purposes.

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes), are governed by and construed in accordance with the laws of Gibraltar. The parties submit to the exclusive jurisdiction of the courts of Gibraltar, provided that nothing in this clause prevents Alphaxis from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
